Terms and Conditions of Membership

Definitions |

| 1.1 |
"The Members" or "Member" are the people who are deemed to
have accepted these Terms and Conditions and be part of one or more Play4150
Syndicates. When you sign up to Play4150 a digital signature is placed on file
stating when you agreed to the Terms and Conditions on this page. Your
Membership certificate can be used at any time as proof of Syndicate
Membership. |

The "Company" is defined as the operator of Play4150,
MitreSoft, and includes the brand name Play4150. |

| 1.3 |
"Play4150" is defined as the Play4150 brand, including
Play4150.com, Play4150.co.uk and any software required to operate Play4150. |
|
| |
| 1.4 |
The "Syndicate" or "Syndicates" are defined as any of the Play4150
Syndicates operated under the Play4150 brand name.

| 1.5 |
The "Lottery" is defined as the UK National Lottery operated
by Camelot. |
|
| |
| 1.6 |
The "Draw" is defined as a single group of numbers drawn at
any one time which can be checked against the Syndicate numbers for possible
winnings. |
|

| 1.7 |
A "Line" is defined as a single group of numbers which will
be entered into one of the specified draws, the cost of which is inclusive of
any charges made by the Company in order to operate the service. The current
cost for a single Line in a Play4150 Lotto, Thunderball or Daily
Play draw Syndicate is £1.50 (GBP). The current cost for a single
Line in a Play4150 Euromillions Syndicate is £2.00 (GBP). The Company
will endeavour to keep these prices static but reserves the right to
alter these values up or down at any time, after giving all Syndicate
Members 1 (one) weeks prior notice. |

| 1.8 |
An "Account" is defined as the account held on the Play4150
system that holds a balance of payments and winnings for any Member. |
|
| |
| 1.9 |
A "Wheeled Line" Syndicate is defined as a Syndicate
where the numbers are pre-defined by the company and selected by the players.
The company reserves the right to change these numbers at any time, after
giving all players 1 weeks notice. This would normally occur after
prior acceptance by the members playing these lines that they
weren't performing well enough. Wheeled Syndicates are identified by a
(w) suffix after their name. |

A "Jackpot Line" Syndicate is defined as a Syndicate where
players pick their own numbers, or use the Play4150 pseudo random number
picking mechanism. These Syndicates have no suffix. |

| 2 |
Terms and Conditions of Membership |
| |
| 2.1 |
The Member has agreed to take part in a Syndicate,
or Syndicates, in which they will maintain a balance. A part of
which will be used to buy tickets in their chosen UK or Euromillions Lottery
Draw. |

| 2.2 |
If a Member does not have enough funds in their Account to purchase their
requested Lines for a particular Draw, their lines will not be entered into
that draw, or any subsequent draws, until such time that there are enough
funds in their account to cover the required costs. If the Members lines
have not been played they forfeit the right to any winnings that may
be shared out to the Syndicates. Their Account will remain live, but their
lines inactive, until either a cancellation notice is received from the
Member, funds are placed into the account to cover the cost of the lines,
or a period of one months inactivity has elapsed. After one months
inactivity, or on receipt of a cancellation notice the Members account
will be suspended and their lines placed back into the pool of lines
available for selection by other members. The Company will make every
effort to notify the Member of the status of their Account and the
necessary action.

| 2.3 |
If a Members Account is suspended, any lines that have been
picked from the Companies own pool of lines will be put back into the pool and
made available to the new Members, any other lines are lost. |

| 2.4 |
Any prize money won in a Lottery Draw will be divided into Members Accounts
in the following manner:
90% of all winnings allocated to a Syndicate in any single draw will be divided
up by the number of lines placed into the draw by members in that syndicate,
and distributed to the Accounts of those members owning those lines.
10% of all winnings allocated to a Syndicate in any single draw will be divided
up by the number of active lines held by Members in other Syndicates,
i.e. Not the winning Syndicate, and distributed to the Accounts of those
Members owning those lines. These Syndicates do not have to be in the same Draw
as the winning Syndicate.
In order to qualify for a share of the 10%, a Member has to have had their lines
played in the previous Draw for that Syndicate. If a Member
changes a line that would qualify for 10% winnings share to play
in an up-and coming draw, then they lose any entitlement to the 10% winnings
pool that line may have accrued from the previous draw.

| 2.5 |
A Member can cancel their Play4150 account at any time.
To cancel their account a member must notify
support@play4150.com. If a cancellation request is received
after their lines have been purchased and placed into the next draw, this
amount will be deducted from their Account and they will be eligible for
any winnings accrued by the Syndicate. Any money in their Account will be
refunded to them within 7 working days of cancellation, less any pending
draw costs.

| 2.6 |
Although every effort is made by the company to
submit all members requested numbers into the chosen Lottery Draws, the
company makes no guarantee that all numbers will go in to a specified draw. |

| 2.7 |
The Company reserves the right to suspend a
Members account, after giving notice, if that Member is deemed to be in breach
of any of the Terms and Conditions of Membership. Any money held in the account
for that Member will be refunded to them. |
|
| |
| 2.8 |
In the event of a major prize win, each Member of any
Syndicate agrees not to take part in any publicity. However, the Company
reserves the right to take part in such publicity whilst maintaining the
privacy of Syndicate Members. |
|
| |
| 2.9 |
A Member can act on behalf of other non-members, collecting
money and paying for Lines on their behalf. It is the responsibility of this
Member to distribute any winnings to other non-members they are acting for, and
not the Companies. It is also this members responsibility to maintain an
accurate list of the people they are playing for, in line with current Lottery
Syndicate good practice. Play4150 provide a Syndicate Agreement for Lottery

| 2.10 |
A Member must be 16 or older to be part of a
Play4150 Syndicate. |
|
| |
| 2.11 |
In the event of any dispute the decision of the Company is
final. |
|
| |
| 2.12 |
Play4150 has no relationship with Camelot, or the UK
National Lottery, other than the purchase of lottery tickets. |
|

| 3 |
Intellectual Property and Copyright Notice |
| |
| 3.1 |
Play4150 and Mitresoft hold intellectual property rights to
the Play4150 brand name, logos, content, software and methods. You may not
copy, reproduce or republish Play4150 content in any way except for
non-commercial or your own private use. No adaptation of this site is allowed
unless it is for your own non-commercial or private use. Any other use or
reproduction of Play4150 content requires express written permission from
Play4150. |

Limitation of Liability |

| 4.1 |
Play4150 provide an as is and on an as is available service.
No kind of warranty, whether expressed or implied by law, is made to the extent
permitted by law. This includes implied warranties such as fitness for purpose,
quality, security and accuracy.

| 4.2 |
Under no circumstances are Play4150 or MitreSoft Ltd liable
for the following losses, whether they be foreseen, foreseeable, known or
otherwise:

Loss of anticipated profits

Loss of data

Loss of business
-
Loss of opportunity

Harm to reputation
-
Indirect, consequential, special or exemplary damages arising from the use
Play4150 regardless of the action taken to achieve such damages

| 4.3 |
Play4150 makes no warranty that the operation of the site
will be free from errors or interruptions, and that errors will be corrected.

Cashbacks |
| |
| 5.1 |
Cashbacks or fee reimbursements are offered at the sole
discretion of the company. The company reserves the right to withdraw cashbacks
and/or fee reimbursements at any time.
|
|

| 5.2 |
Cashbacks will only be applied if a payment is equal to, or
more than, the sum of £6 (GBP) before the senders fee has been applied and
after any currency conversions have taken place. No cashback or fee
reimbursement will take place for deposits less than £6.
|

| 5.3 |
The current cashback rates are as follows:
For Internet Banking transactions: 3.4% of the deposit + 20p
For PPPay GBP transactions: 0.49p
For PPPay EUR transactions: 0.65p

| 5.4 |
Non-uk PPPay cashbacks are linked to the prevailing exchange
rate and are liable to frequent change.
|
|
| |
| 5.5 |
The maximum cashback that Play4150 will credit to an account
in a single transaction is £6 (GBP). |
|
| |
